A contrary agreement often occurs when a contract is requested between two or more parties, but one or more of the parties are a company that has yet to be registered. The contract has a party who, subject to a contrary agreement, is a person acting for or as an agent for the company. The person or agent is therefore personally liable, except in the event of an agreement to the contrary.
